This role will:
Draft and negotiate various types of procurement contracts, including agreements related to hosted services, professional services, IT procurement, HR services, licenses, other cloud-based products, and services purchased by Vanguard.
Analyze changes requested by third-party vendors, provide legal advice to business lines procuring products or services from such vendors, and negotiate directly with vendor counsel.
Advise internal business and procurement groups on third-party vendor relationships and risks associated with such arrangements.
Coordinate and collaborate with subject matter experts within the Office of the General Counsel to seek input on SEC and FINRA compliance, IT, Privacy, HR, Tax, Litigation, and International Legal requirements to determine legal and regulatory requirements that impact Vanguard's commercial contracts.
Develop and maintain a high level of expertise in commercial contracting, Vanguard's business and products, and the investment industry. Stay abreast of industry and regulatory developments affecting Vanguard.
Participate in document reviews to ensure contracts meet certain legal requirements.
Participate in special projects and perform other duties as assigned.
Qualifications
Minimum of five years related work experience, paralegal/legal experience. Experience with negotiating commercial contracts or other procurement experience preferred.
Undergraduate degree or equivalent combination of training and experience.
